Financing Strategies

Multi-segment.  At some point in their lifecycle most, if not all, businesses require some type of financing. This seminar provides an in-depth review about the various forms of financing to fund capital projects or acquisitions and to restructure existing capital structures.

During this seminar, participants will gain a sense of financing processes, terms, and risks associated with multiple types of capital. The seminar will dive into the practical details of what capital providers are seeking, issues that can arise, and how companies should prepare themselves to execute a financing transaction. Through real-life examples, identifying common pitfalls, highlighting key elements and case studies, the seminar will put financial executives in a better position to seek financing and negotiate with capital providers.

Topics Include:

· overview of financing strategy and capital markets

· current state of the capital markets, including benchmarks and rules of thumb regarding realistic financing parameters

· basic capital structure elements

· discussion of various forms of financing, including government financing, operating lines, term debt, mezzanine finance, subordinated debt, real estate financing, private equity, venture capital, public equity and convertible debentures

· an understanding about cost of capital and related investment decisions

· financing processes and negotiating strategies

Applicable for

Although suitable for financial professionals in many roles, the session particularly targets controllers, chief financial officers, chief executive officers, and other financial executives who provide input or take the lead with undertaking financing transactions within their own enterprises.

Learning Objectives

By the end of this course, participants should be able to:

· Compare key debt terms against a term sheet used for raising debt capital.

· Differentiate between asset-based lending and cash flow-based lending and the pros and cons of each.

· Utilize a leveraged buyout framework to infer a suitable return profile for mezzanine financiers and private equity investors involved in investment decision making.

· Compare and contrast the costs and benefits of different types of public capital with private capital for different stages in a company lifecycle.

· Improve their ability to seek financing and negotiate with capital providers and will understand the basic negotiating stances to consider when raising financing.
